Terms of Service

1. Acceptance

By accessing our website or engaging us, you confirm you have read and agree to these Terms and our Privacy Policy. If you’re using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The Services

Whutzthat helps everyday people and small businesses adopt and use technology and AI, including consulting, setup, and our managed agent offering, “Otto.” The specific scope, deliverables, and timing of any engagement will be described in a separate proposal, order, or statement of work (“Order”). If an Order conflicts with these Terms, the Order controls for that engagement.

3. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract. You agree to provide accurate information and to keep any credentials or access we provide secure. You’re responsible for activity that occurs through your accounts and for the accuracy of information and materials you give us.

4. Fees & payment

Fees are set out in your Order. Subscription Services (such as Otto) are billed in advance on a recurring basis as described at the time of purchase, including any introductory or promotional pricing. Unless your Order says otherwise, fees are non-refundable once the applicable period begins, and recurring Services renew until cancelled in line with your Order. You’re responsible for applicable taxes. We may change pricing for future periods on reasonable notice.

5. AI & third-party tools

Our Services may rely on third-party platforms and artificial-intelligence models. AI systems can produce output that is inaccurate, incomplete, or unexpected, and they may change or become unavailable. You agree that:

• AI output is a tool, not professional advice, and you are responsible for reviewing it before relying on or acting on it;
• we are not responsible for the availability, accuracy, or performance of third-party tools and models; and
• your use of any connected third-party service is also subject to that provider’s terms.

6. Acceptable use

You agree not to use the Services to break the law, infringe others’ rights, send spam or malware, attempt to gain unauthorized access to systems, reverse engineer our tools, or use the Services in a way that could harm Whutzthat or others. We may suspend access to protect the Services or comply with the law.

7. Intellectual property

We own our website, brand, methods, software, templates, and other materials we develop, including general improvements to our tools and know-how. Subject to full payment and these Terms, we grant you a non-exclusive, non-transferable right to use the deliverables we provide for your internal business purposes. You may not resell or redistribute our materials without our written permission.

8. Your data

As between you and us, you own the data, content, and knowledge you provide or that we configure on your behalf (“Your Data”). You grant us the limited rights needed to host, process, and use Your Data to provide and support the Services. We handle Your Data as described in our Privacy Policy, we do not sell it, and you may export it on reasonable request. You are responsible for having the rights to share any data you give us and for the content of that data.

9. Disclaimers

The website and Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any particular result, outcome, or business performance will be achieved.

10. Limitation of liability

To the fullest extent permitted by law, Whutzthat and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Services, even if advised of the possibility. Our total liability for any claim relating to the Services will not exceed the amounts you paid to us for the Services giving rise to the claim in the twelve (12) months before the event giving rise to liability. Some jurisdictions don’t allow certain limitations, so some of these may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Whutzthat and its owners, employees, and contractors from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, Your Data, or your breach of these Terms or of applicable law.

12. Termination

You may stop using the Services at any time, and you may cancel subscription Services as described in your Order. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Services in a way that creates risk or legal exposure. Provisions that by their nature should survive termination (including payment, intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing law & disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Georgia will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to venue there. Before filing any claim, you agree to first contact us in good faith to try to resolve it informally.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we’ll update the “Effective date” above. Material changes will take effect on the date posted, and your continued use of the Services after that date means you accept the updated Terms.
